1. PURPOSE & SCOPE

1.1 Purpose

These Terms & Conditions (“Terms”) govern access to and use of the official
website, platform, account features, referral features, order features, payment
features, customer-support features, and other digital services operated by
STCNET Private Limited (“STCNET”, “Company”, “we”, “us”, or “our”).

These Terms apply to any person who accesses, browses, registers on, purchases
through, communicates through, or otherwise uses the STCNET platform (“User”,
“you”, or “your”).

These Terms are designed to:

  • define the legal relationship between STCNET and Users;
  • establish rules for website and platform use;
  • govern account registration, orders, payments, refunds, delivery, returns,
    and user conduct;
  • prevent fraud, misuse, fake orders, circular transactions, payment abuse,
    and commission manipulation;
  • incorporate STCNET’s public policies by reference;
  • preserve consumer rights under applicable law;
  • provide a clear framework for complaints, disputes, suspension,
    termination, and legal remedies.

1.2 Legal Basis

These Terms are framed with reference to applicable Indian laws and regulatory
requirements, including:

1.3 Acceptance of Terms

By accessing, browsing, registering on, placing an order through, making
payment through, using account features, or using any part of the STCNET
platform, you acknowledge that you have read, understood, and agreed to these
Terms and the policies incorporated by reference.

For purchases, account registration, Promoter / Referrer participation, KYC
submission, commission eligibility, or other binding actions, STCNET may require
express acceptance through checkbox, click-wrap, digital consent, OTP
confirmation, electronic signature, dashboard acceptance, written agreement, or
other lawful electronic method.

If you do not agree to these Terms, you must not use the Platform, create an
account, place orders, make payments, or participate as a Promoter / Referrer.

If there is a conflict between these Terms and a specific policy, the specific policy
shall apply to the specific subject matter, unless contrary to applicable law.

2. ELIGIBILITY

2.1 General Eligibility

Use of the Platform is available only to persons who are competent to contract
under applicable law.

By using the Platform, you represent that:

  • you are legally competent to enter into a binding arrangement;
  • you are not prohibited from using the Platform under applicable law;
  • information provided by you is accurate, current, and complete;
  • you will comply with these Terms and all applicable policies.

2.2 Minors and Legally Incompetent Persons

Persons who are minors, of unsound mind, or otherwise incompetent to contract
under applicable law must not independently create an account, place orders,
make payments, register as Promoters / Referrers, submit KYC, or enter into any
binding arrangement through the Platform.

Where a minor or legally incompetent person uses the Platform under the
supervision of a lawful guardian, the guardian shall be responsible for such use,

order, payment, communication, and legal consequences to the extent permitted
by law.

2.3 Promoter / Referrer Eligibility

A person may participate as a Promoter / Referrer only if they:

  • are at least 18 years old;
  • are competent to contract;
  • accept the applicable Promoter / Referrer agreement or platform terms;
  • complete required KYC, where applicable;
  • comply with STCNET’s Code of Conduct;
  • comply with the sale-only compensation framework;
  • do not participate through proxy, benami, fake, duplicate, or unauthorised
    identity.

Promoter / Referrer participation is subject to STCNET’s approval, verification,
suspension, review, and termination rights under applicable policies and law.

3. DEFINITIONS

For the purpose of these Terms:

submitted by a User.
Force Majeure Events beyond reasonable control,
including natural disaster, flood, fire,
strike, riot, epidemic, cyber incident,
regulatory restriction, government
action, transport disruption, payment-
system failure, network outage, or
other extraordinary event.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access certain features, you may be required to create an account.

You agree to:

  • provide accurate, current, and complete information;
  • keep your information updated;
  • not impersonate any person;
  • not create duplicate, fake, benami, proxy, or misleading accounts;
  • not use another person’s identity, mobile number, email, PAN, bank
    account, address, or KYC details without authority;
  • not use offensive, deceptive, infringing, or unlawful account details.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials,
OTPs, passwords, device access, and account activity.

You must immediately notify STCNET if you suspect unauthorised access, account
misuse, credential compromise, fraudulent transaction, or security breach.

STCNET shall not be responsible for losses arising from credential sharing, user
negligence, false information, unauthorised third-party data submission,
payment outside official channels, or misuse of account credentials, except to the
extent liability arises under applicable law.

4.3 Account Review, Suspension and Restriction

STCNET may review, restrict, suspend, hold, or deactivate an account where it
reasonably suspects:

  • violation of these Terms;
  • false, incomplete, or misleading information;
  • fake account, duplicate account, proxy account, or benami account;
  • fraudulent transaction;
  • payment abuse;
  • Cash on Delivery abuse;
  • chargeback abuse;
  • coupon or pricing-error misuse;
  • circular ordering;
  • commission manipulation;
  • unauthorised access;
  • policy violation;
  • legal or regulatory risk;
  • request from law enforcement, regulator, court, payment partner, or
    competent authority.

Where reasonably practicable and legally permissible, STCNET may provide
notice or opportunity to respond. Immediate action may be taken without prior
notice where required to protect consumers, prevent fraud, preserve evidence,
comply with law, or protect platform integrity.

5. PLATFORM USE

5.1 Permitted Use

You may use the Platform only for lawful, personal, consumer, business, or
Promoter / Referrer purposes permitted by STCNET and applicable law.

You must use the Platform in a manner that:

  • complies with these Terms;
  • complies with all applicable policies;
  • does not violate law;
  • does not harm consumers, STCNET, vendors, payment partners, logistics
    partners, Promoters / Referrers, or other Users;
  • does not disrupt the Platform;
  • does not misuse STCNET’s referral, commission, order, payment, return,
    refund, or support systems.

5.2 Prohibited Activities

You shall not directly or indirectly:

disclose personal data of Users,
consumers, Promoters / Referrers, or
STCNET personnel.

income claims, unauthorised product

promotional content.
Unlawful Conduct Engage in conduct violating consumer
law, cyber law, tax law, direct-selling

Harassment Threaten, abuse, defame, harass,
intimidate, or harm any person
connected with STCNET.

5.3 Consequences of Misuse

Violation of these Terms may result in one or more of the following:

  • warning;
  • account restriction;
  • account suspension;
  • account termination;
  • order cancellation;
  • refund hold pending verification;
  • COD restriction;
  • prepaid-only account status;
  • commission hold;
  • commission reversal;
  • wallet adjustment;
  • cancellation of Promoter / Referrer status;
  • blacklisting;
  • reporting to payment service providers, regulators, law enforcement, or
    competent authorities;
  • civil, criminal, or other legal action.

All action shall be subject to applicable law and STCNET’s policies.

6. ORDERS, ACCEPTANCE AND AVAILABILITY

6.1 Order Placement

Placing an order on the Platform constitutes an offer by the User to purchase the
selected product or service on the terms displayed at checkout and under
applicable policies.

STCNET may accept, reject, cancel, hold, or verify an order in accordance with
these Terms, applicable policies, and law.

6.2 Order Acceptance

An order may be treated as accepted only after relevant checks are completed,
including:

  • payment confirmation, where applicable;
  • address and pin-code verification;
  • stock availability;
  • product/service availability;
  • fraud and risk review;
  • regulatory or KYC check, where applicable;
  • order confirmation by STCNET.

An order confirmation does not override STCNET’s rights relating to pricing
errors, payment failure, product unavailability, fraud risk, regulatory restriction,
or cancellation under applicable policy.

6.3 Product and Service Availability

Products and services are subject to availability.

STCNET may cancel, hold, split, delay, or modify fulfilment where:

  • product is unavailable;
  • supplier/vendor fails to fulfil;
  • logistics serviceability changes;
  • pricing/listing error occurs;
  • regulatory restriction applies;
  • payment fails;
  • fraud or misuse is suspected;
  • force majeure occurs.

Where payment has been received for a cancelled order, eligible refund shall be
processed under the Returns, Refunds & Cancellation Policy and Pricing,
Payments & Charges Policy.

7. PRICING, PAYMENTS AND CHARGES

Pricing, payment methods, GST invoicing, discounts, offers, Cash on Delivery,
chargebacks, failed payments, refund withholding, TDS, and payment security
shall be governed by the Pricing, Payments & Charges Policy.

You agree that:

  • all payments must be made only through official STCNET payment
    channels;
  • no payment should be made to personal accounts, unofficial UPI IDs,
    unauthorised QR codes, cash collectors, or unverified payment links;
  • STCNET does not ask for OTP, UPI PIN, card PIN, CVV, password, or internet
    banking credentials;
  • payment methods may be restricted or withdrawn based on risk, location,
    product category, account behaviour, or operational reasons;
  • refunds may be held pending verification, fraud checks, chargeback
    resolution, return inspection, or legal review where permitted by law.

8. SHIPPING, DELIVERY, RETURNS AND REFUNDS

Shipping, delivery, failed delivery, RTO, return shipping, risk of loss, returns,
refunds, cancellation, replacement, exchange, chargebacks, and commission
reversals shall be governed by:

  • Shipping, Delivery & Fulfilment Policy;
  • Returns, Refunds & Cancellation Policy;
  • Pricing, Payments & Charges Policy;
  • Compensation Structure & Commission Disclosure Policy, where
    commission is involved.

Acceptance of delivery does not waive consumer rights for wrong product,
missing item, concealed damage, defect, expired product, spurious goods, or
statutory remedies, provided the issue is reported within the applicable window
and supported with required evidence.

9. PROMOTER / REFERRER TERMS

9.1 Independent Status

Promoters / Referrers are independent participants and are not employees,
agents, partners, franchisees, legal representatives, or authorised spokespersons
of STCNET unless expressly authorised in writing.

No Promoter / Referrer may bind STCNET, collect unauthorised payments, issue
unofficial receipts, alter policies, promise refunds, guarantee income, or make
unauthorised product, legal, tax, or compensation claims.

9.2 Prior Written / Electronic Agreement

A person may act as a Promoter / Referrer only after accepting the applicable
written or electronic participation terms, platform terms, Code of Conduct,
compensation disclosure, and other applicable policies.

Promoter / Referrer participation is subject to KYC, compliance review, sale-only
remuneration rules, and ongoing adherence to Company policies.

9.3 No Income Guarantee

STCNET does not guarantee fixed income, minimum income, passive income,
employment, salary, return on investment, rank income, recruitment income,
joining income, or network income.

Commission, where applicable, arises only from eligible completed
product/service sales and is subject to the Compensation Structure & Commission
Disclosure Policy.

9.4 Commission Hold, Reversal and Forfeiture

Commission may be withheld, reversed, adjusted, rejected, or recovered where
linked to:

  • cancelled orders;
  • returned orders;
  • refunded orders;
  • chargebacks;
  • failed payments;
  • fake orders;
  • COD abuse;
  • circular transactions;
  • self-purchase manipulation;
  • referral abuse;
  • policy breach;
  • KYC failure;
  • suspension or termination;
  • fraud, mis-selling, or regulatory risk.

Forfeiture or rejection of commission shall be applied only where permitted
under Company policy and applicable law.

10. USER CONTENT, REVIEWS AND COMMUNICATIONS

10.1 User Content

Users may submit reviews, ratings, comments, feedback, complaints, images,
documents, or other content where the Platform permits.

By submitting User Content, you represent that:

  • the content is true, lawful, and not misleading;
  • you have the right to submit it;
  • it does not infringe third-party rights;
  • it does not contain unlawful, abusive, defamatory, obscene, fraudulent, or
    harmful material;
  • it does not contain fake reviews, income claims, unauthorised product
    claims, or misleading promotional material.

10.2 Licence to Use User Content

By submitting User Content, you grant STCNET a non-exclusive, worldwide,
royalty-free, revocable where legally required, licence to use, reproduce, display,
store, moderate, process, publish, or remove such content for platform operation,

customer support, grievance handling, audit, legal compliance, fraud prevention,
and business purposes.

STCNET shall process personal data in User Content in accordance with the
Privacy Policy.

10.3 Moderation

STCNET may review, edit, reject, remove, disable, or restrict User Content where
it is unlawful, misleading, abusive, irrelevant, fraudulent, promotional,
defamatory, infringing, spam, policy-violating, or harmful to platform integrity.

STCNET is not obligated to publish every review, rating, comment, or submission.

11. INTELLECTUAL PROPERTY

11.1 Ownership

All Platform content, including text, graphics, logos, icons, images, videos,
software, page designs, product descriptions, layout, databases, policies,
documents, trademarks, service marks, trade names, and other materials,
belongs to STCNET or its licensors, vendors, brand owners, or respective rights
holders.

11.2 Limited Licence

STCNET grants Users a limited, non-exclusive, non-transferable, revocable licence
to access and use the Platform for lawful purposes permitted under these Terms.

This licence does not permit commercial exploitation, copying, scraping,
reproduction, resale, reverse engineering, unauthorised publication, or
unauthorised use of STCNET’s content, systems, data, or brand assets.

11.3 Third-Party Brands

Third-party product names, logos, trademarks, images, brand identifiers,
manufacturer names, and product descriptions may belong to their respective
owners.

Use of third-party brand identifiers on the Platform is for product identification,
resale, description, compatibility, or lawful commercial reference only, unless
otherwise expressly stated.

No listing should be interpreted as ownership, sponsorship, endorsement,
agency, dealership, distributorship, or brand authorisation unless expressly
disclosed by STCNET.

12. DISCLAIMERS

12.1 Platform Availability

The Platform is provided on an “as available” basis.

STCNET does not guarantee that the Platform will always be uninterrupted,
error-free, virus-free, secure, compatible with every device, or available at all
times.

STCNET may suspend, restrict, maintain, update, modify, or discontinue any
feature for operational, technical, legal, security, or business reasons.

12.2 Product and Service Information

STCNET makes reasonable efforts to display accurate product and service
information.

However, product descriptions, images, colours, packaging, labels, specifications,
availability, prices, offers, and delivery timelines may vary due to manufacturer
updates, supplier data, display settings, stock condition, or technical error.

Mandatory consumer rights, statutory warranties, manufacturer warranties,
guarantees, product liability rights, refund rights, and remedies under applicable
law are not excluded.

12.3 No Professional Advice

Information on the Platform is not legal, tax, accounting, investment, medical,
financial, professional, or regulatory advice.

Users, Promoters / Referrers, vendors, and other persons should consult qualified
professionals for their own legal, tax, GST, compliance, health, safety, or financial
obligations.

13. LIMITATION OF LIABILITY

13.1 Lawful Limitation

To the fullest extent permitted by applicable law, STCNET shall not be liable for
indirect, incidental, special, consequential, punitive, exemplary, or remote
damages arising from use of the Platform.

This may include loss of profits, loss of revenue, loss of goodwill, loss of data,
business interruption, unauthorised third-party conduct, device failure, payment-
provider failure, logistics-provider delay, or inability to access the Platform.

13.2 Liability Cap

Subject to applicable law, STCNET’s aggregate liability for a claim arising out of a
specific paid transaction shall ordinarily not exceed the amount actually paid by
the User to STCNET for the specific product or service giving rise to the claim.

This limitation shall not apply where liability cannot be limited under applicable
law, including mandatory consumer rights, product liability, wilful misconduct,
fraud, gross negligence, data protection obligations, or statutory remedies.

13.3 User Negligence and Unauthorised Conduct

STCNET shall not be responsible for losses arising from:

  • sharing OTP, UPI PIN, card PIN, CVV, password, or banking credentials;
  • payment through fake links or unofficial channels;
  • use of personal accounts or unauthorised UPI IDs;
  • false information submitted by the User;
  • unauthorised third-party data submission;
  • credential sharing;
  • device compromise;
  • consumer-side negligence;
  • misuse of account or platform;
  • unauthorised conduct by any person not acting under STCNET’s control,

except to the extent STCNET is liable under applicable law.

13.4 Consumer Rights Preserved

Nothing in these Terms excludes or limits any consumer right, statutory remedy,
product liability remedy, refund right, grievance right, or legal remedy that
cannot be excluded or limited under applicable law.

14. INDEMNITY

To the extent permitted by law, you agree to indemnify and hold STCNET, its
directors, officers, employees, consultants, vendors, service providers, and
authorised representatives harmless from claims, losses, penalties, damages,
costs, and expenses arising from:

  • your breach of these Terms;
  • your breach of STCNET policies;
  • your violation of applicable law;
  • your fraud, misrepresentation, or unlawful conduct;
  • your misuse of the Platform;
  • your unauthorised use of STCNET intellectual property;
  • your unauthorised collection or misuse of personal data;
  • your submission of false, misleading, infringing, or unlawful content;
  • your unauthorised payment, refund, COD, chargeback, or commission
    manipulation;
  • your violation of third-party rights.

This indemnity shall not apply in a manner that removes mandatory consumer
rights available under applicable law.

15. THIRD-PARTY SERVICES

The Platform may involve third-party services, including:

  • payment gateways;
  • payment aggregators;
  • banks;
  • UPI applications;
  • card networks;
  • logistics partners;
  • courier partners;
  • KYC providers;
  • cloud/hosting providers;
  • customer-support tools;
  • analytics tools;
  • external links;
  • manufacturer or warranty-support channels.

Third-party services may be governed by their own terms, privacy policies,
refund timelines, dispute processes, and operational rules.

STCNET is not responsible for third-party delays, downtime, errors, misconduct,
or failures caused solely by such third parties, except to the extent STCNET is
responsible under applicable law or Company policy.

16. SUSPENSION AND TERMINATION

16.1 Termination by User

You may stop using the Platform or request account closure through the official
support or grievance channel.

Account closure may be subject to completion of pending orders, refunds,
returns, chargebacks, investigations, KYC obligations, tax records, commission
records, legal retention, and statutory compliance.

16.2 Suspension or Termination by STCNET

STCNET may suspend, restrict, deactivate, or terminate access where reasonably
necessary due to:

  • breach of these Terms;
  • breach of any STCNET policy;
  • fraud, fake order, or payment abuse;
  • COD abuse or RTO manipulation;
  • commission manipulation;
  • false KYC or false information;
  • data misuse;
  • platform misuse;
  • unlawful activity;
  • consumer harm;
  • regulatory direction;
  • court order;
  • law enforcement request;
  • payment service provider action;
  • security risk;
  • prolonged inactivity, where applicable.

Where reasonably practicable and legally permissible, STCNET may provide
notice or an opportunity to respond. Immediate action may be taken without
prior notice where necessary to prevent fraud, protect consumers, preserve
evidence, comply with law, or protect platform security.

16.3 Effect of Termination

Upon suspension or termination:

  • Platform access may be restricted;
  • pending orders may be cancelled or held;
  • refunds may be processed subject to verification;
  • pending commissions may be held, reversed, rejected, or reviewed under
    applicable policy;
  • user content may be retained or removed as per policy and law;
  • records may be retained for legal, tax, audit, fraud-prevention, grievance,
    and compliance purposes;
  • provisions relating to intellectual property, liability, indemnity, dispute
    resolution, records, and legal rights shall survive.

17. PRIVACY AND DATA PROTECTION

Personal data shall be processed in accordance with STCNET’s Privacy Policy
and applicable law.

By using the Platform, you agree that STCNET may process personal data for
purposes including account management, order processing, payment, delivery,
refund, return, KYC, commission, fraud prevention, grievance handling, audit,
legal compliance, and platform security.

Users must not submit personal data of another person without lawful authority.

18. ELECTRONIC COMMUNICATIONS AND RECORDS

You agree that STCNET may communicate with you through:

  • email;
  • SMS;
  • WhatsApp, where enabled;
  • phone call;
  • dashboard notification;
  • website notice;
  • push notification, where available;
  • postal communication;
  • other lawful electronic or written means.

Electronic records, confirmations, invoices, receipts, notices, OTP records,
consent records, acceptance logs, policy acceptance records, order records,
payment records, and support records may be used for audit, evidence, dispute
resolution, legal compliance, and transaction verification.

19. FORCE MAJEURE

STCNET shall not be liable for delay, failure, interruption, non-performance, or
partial performance caused by events beyond reasonable control, including:

  • natural disaster;
  • flood;
  • fire;
  • epidemic;
  • strike;
  • labour unrest;
  • riot;
  • war;
  • terrorism;
  • cyberattack;
  • system outage;
  • payment network failure;
  • courier disruption;
  • supplier failure;
  • government order;
  • regulatory restriction;
  • court order;
  • infrastructure failure;
  • internet or telecom disruption;
  • any other event beyond reasonable control.

STCNET shall take reasonable steps to resume affected services where feasible.

20. GOVERNING LAW AND DISPUTE RESOLUTION

20.1 Governing Law

These Terms and all transactions through the Platform shall be governed by the
laws of India.

20.2 Consumer Disputes

Nothing in these Terms restricts a consumer’s right to approach the appropriate
consumer commission, statutory authority, regulator, court, National Consumer
Helpline, e-Jagriti portal, or other forum available under applicable law.

Consumer disputes shall be handled in accordance with applicable consumer
protection law.

20.3 Internal Grievance Resolution

Before initiating external proceedings, Users are encouraged to first use STCNET’s
internal grievance mechanism, except where urgent legal or statutory remedy is
required.

Grievances may be submitted under the Grievance Redressal & Consumer
Complaints Policy.

20.4 Non-Consumer Disputes

For non-consumer disputes, including disputes involving Promoters / Referrers,
vendors, service providers, or commercial participants, the parties shall first
attempt to resolve the dispute through good-faith consultation.

If the dispute is not resolved within 30 days, the dispute may be referred to
arbitration under the Arbitration and Conciliation Act, 1996, unless otherwise
provided in a separate written agreement.

The seat and venue of arbitration shall be Delhi, India. The language shall be
English. The arbitral tribunal shall consist of a sole arbitrator appointed in
accordance with applicable law.

This clause shall not prevent either party from seeking urgent injunctive, interim,
regulatory, criminal, or statutory relief where permitted by law.

20.5 Jurisdiction

Subject to mandatory consumer rights and statutory forums available under
applicable law, courts at Delhi, India shall have jurisdiction over disputes arising
from these Terms or the Platform.

21. CHANGES TO TERMS

STCNET may amend, revise, update, or replace these Terms from time to time to
reflect changes in law, regulatory requirements, business operations, technology,
payment systems, logistics processes, product categories, fraud controls, or
internal policies.

The latest version published on the STCNET website shall prevail prospectively.

Material changes may be notified through the Platform, email, dashboard notice,
or other reasonable means where required.

Continued use of the Platform after publication of updated Terms may constitute
acceptance of the updated Terms.

Orders already confirmed shall ordinarily be governed by the terms applicable at
the time of order confirmation, unless a change is required by law or is beneficial
to the consumer.

22. SEVERABILITY

If any provision of these Terms is held invalid, illegal, or unenforceable, the
remaining provisions shall continue to remain valid and enforceable to the fullest
extent permitted by law.

The invalid provision shall be interpreted, modified, or replaced in a manner that
most closely reflects the original intent while remaining lawful.

23. WAIVER

No failure, delay, or partial exercise by STCNET of any right or remedy shall
constitute a waiver of that right or remedy.

Any waiver must be express and in writing to be effective.

24. ASSIGNMENT

You may not assign, transfer, delegate, or subcontract your rights or obligations
under these Terms without prior written consent of STCNET.

STCNET may assign or transfer its rights and obligations in connection with
merger, restructuring, business transfer, asset transfer, financing, legal
reorganisation, or change in business operations, subject to applicable law and
consumer rights.

25. ENTIRE AGREEMENT

These Terms, together with all policies incorporated by reference, order-specific
terms, product-specific terms, Promoter / Referrer agreements, and legally valid
notices, constitute the agreement between you and STCNET regarding use of the
Platform.

For Promoters / Referrers, any separate written or electronic participation
agreement shall also apply.
